TeleCMI Services - Terms of Use

TeleCMI is a leading cloud communication platform and a UL VNO (Unified License – Virtual Network Operator) licensed telecom operator that empowers businesses to build, manage, and scale their voice communication infrastructure. As a unified communications provider, TeleCMI offers a comprehensive suite of cloud telephony solutions designed to streamline customer engagement, enhance agent productivity, and ensure seamless connectivity across multiple channels.

These are our terms of use (hereinafter referred to as the “Agreement” or “Terms”). We provide access to our product subject to the terms of this Agreement. To be eligible to use our product you must review and accept the terms of this Agreement.

By clicking on the “I Agree” button or using our product you agree to the terms of this Agreement. The Agreement will become effective from the date you click on the “I Agree” button or from the date of your using the product (hereinafter referred to as the “Effective Date”).

In this Agreement, “we”, “us”, “our” or “TeleCMI” means TeleCMI Technologies Private Limited. We are a company incorporated and registered under the Companies Act, 1956, with our registered office at No. 4/1248, Main Road, Chinthamani Post, Villupuram - 605 601. If you are accepting the Agreement or using our Product on behalf of an organization, you are agreeing to these terms for that organization and promising to TeleCMI that you have the authority to bind the organization to the terms of this Agreement.

Please read these Terms of Use (“Agreement”) carefully before using the virtual phone number services provided by TeleCMI Technologies Private Limited (“Company”, “we”, “our”, or “us”). By accessing or using the service, you agree to be bound by this Agreement electronically. By clicking “I Agree”, the authorized representative of the business/company/entity confirms acceptance of the terms set forth below.

1. Acceptance of Terms

By clicking “I Agree”, you acknowledge that:
• You have read, understood, and agree to be bound by these Terms of Use;
• You are authorized to enter into this agreement on behalf of the entity you represent;
• You are of legal age to enter into a binding agreement.

2. Eligibility and Authorization

This Agreement is strictly intended for businesses, legal entities, or organizations. By accepting, you confirm that:
• You are a legally registered business entity;
• The person accepting this Agreement is authorized to bind the company;
• All information provided during sign-up is true, accurate, and current.

3. Description of Service

Our service provides access to cloud-based virtual phone numbers that can be used for voice and related communications functions, subject to availability and regional regulations.

4. Use of Services

The customer agrees to:
• Use the services only for lawful business purposes;
• Not use the services for unsolicited marketing, spamming, robocalls, phishing, fraud, or any prohibited activity;
• Comply with applicable telecom regulations and industry codes.

5. Number Ownership

Numbers are licensed to you and remain the property of the provider or underlying network operator; you may not claim ownership. The customer is fully responsible for any fraudulent, illegal, or unlawful activities occurring through the assigned virtual number.

6. Customer Responsibilities

The customer is responsible for:
• All activity conducted via its account(s), including by employees or authorized users;
• Keeping login credentials and user access secure;
• Ensuring compliance with applicable data protection, privacy, and telecom laws.

7. Use of APIs

TeleCMI provides REST APIs and webhooks to facilitate integration of telephony services.

7.1 API Access & Authentication
API keys and tokens must be kept confidential and used only by authorized systems or personnel.

7.2 Rate Limiting & Fair Use
TeleCMI may apply rate limits to prevent abuse and ensure fair usage across clients.

7.3 Restrictions
The customer must not:
– Use the APIs for any purpose that violates applicable telecom or privacy laws;
– Interfere with or disrupt the performance or integrity of the TeleCMI platform.

8. Use of SDKs

TeleCMI offers SDKs (Software Development Kits) for embedding VoIP calling and messaging into web or mobile applications.

8.1 SDK License
TeleCMI grants a non-exclusive, non-transferable, revocable license to use its SDKs solely for integration with the customer’s own applications. The SDK may not be modified, reverse-engineered, or redistributed without written permission.

8.2 End-User Communication
The customer is responsible for informing and obtaining consent from end-users where SDK functionality captures audio, monitors calls, or records communications. SDK use must comply with regional and country-specific VoIP and privacy laws, including TRAI regulations in India.

9. Internet Calling Services

TeleCMI’s services enable voice communication over internet networks, including web and app-based calling features.

10. Fees and payment

Service fees, taxes, and billing cycles are governed by the subscription plan or contract agreed upon during onboarding. TeleCMI may suspend or terminate service for non-payment or payment failures after due notice.

11. Refund Policy

Conditions for Refund: A refund will be processed if the service is not delivered within the mutually agreed-upon timeline, as specified in this agreement.

Timeline for Service Delivery: Both parties agree to a specific timeline for the delivery of the service.

Refund Process: In the event the service is not delivered within the agreed timeline, the client is entitled to request a full or partial refund, as applicable.

Exclusions: Refund eligibility will not apply if delays are caused by factors beyond the control of the service provider, such as unforeseen circumstances, force majeure, or client-caused delays.

Mutual Agreement on Timeline: Both parties acknowledge that the agreed-upon timeline may be adjusted only with written consent from both the service provider and client. Any adjustments to the timeline will be documented in an addendum to this agreement.

Refund Timeline: Once a refund is mutually agreed upon, it will be processed within 30 days from the date of agreement.

12. Data privacy & confidentiality

TeleCMI will process customer data in accordance with applicable data protection laws.

Both parties agree to maintain the confidentiality of non-public information received during the term of this Agreement.

You will be required to choose a password and you shall provide accurate information while creating your account.

You are responsible for maintaining the confidentiality of your password. We reserve all rights to access, share, communicate, convey, and disseminate some or all of the customer specific information to the extent it is permissible under the applicable laws in India, in order to provide better services to the users.

We store and protect your personal information including sensitive financial information, if collected, by employing adequate and reasonable security measures.

13. Customer Support

TeleCMI provides no worry support at moonlight and sunshine. TeleCMI will start to find the solution for your problem within 2 hours.

Our customer support team will provide you with customer support services for any queries or issues that you or your authorised user(s) may have in relation to the services.

Our customer support team’s mission is to provide workarounds and solutions during product downtimes and be generally available to assist our customers.

By Customer Support Services we mean the support services provided by us to you in accordance with our Support Services Policy. For domestic and international customers, our customer Support Services will remain available round the clock.

14. Term, Suspension & Termination

You are agreed that this Agreement remains in effect until terminated by either party in accordance with its terms.

TeleCMI reserves the right to suspend or terminate service in case of abuse, breach of terms, or regulatory non-compliance.

15. Force Majeure

Except for the obligation related to payment of Charges, neither party will be responsible for any failure to perform or delay attributable in whole or in part to any cause beyond its reasonable control, including but not limited to acts of God, government actions, war, civil disturbance, insurrection, sabotage, shortage of energy, or equipment, disruption of communication network/(s) or cloud storage facilities (hereinafter referred to as the “Force Majeure Event”).

Provided however, that if a Force Majeure Event occurs, the affected party will, as soon as practicable: (i) notify the other party of the happening of the Force Majeure Event and its impact on the performance of the obligations of the affected party under this Agreement; and (ii) use all reasonable efforts to resolve any issues resulting from the Force Majeure Event and perform its obligations hereunder. Neither of us will be responsible for a failure to perform or delay caused due to an act of God such as government actions, war, civil disturbance, insurrection, sabotage, shortage of energy, raw materials or equipment, disruption of communication network/(s) or cloud storage facilities.

16. Modifications to Terms

TeleCMI reserves the right to update these Terms at any time. Continued use of the service after changes constitutes acceptance of the revised Terms.

17. Compliance Policy & KYC

Customers must submit valid company documents and complete the Know Your Customer (KYC) process as per TeleCMI’s internal policy and applicable telecom regulations. Required documents include, but are not limited to:

TeleCMI reserves the right to suspend services in case of non-compliance with KYC requirements or submission of incomplete/inaccurate information.

18. DND compliance

You are agreed to our DND compliance stating that customers are not allowed to dial calls to DND registered numbers, SPAM calling activities and other harmful SCAM & fraudulent calling practices.

If we receive any DND calling complaints, your account will be terminated and blocked immediately without any notification.

If the company receives any SPAM and SCAM/fraudulent calling complaints, your account will be terminated and blocked immediately without any notification.

You are agreed to provide the required justification for the received complaints for the TRAI via company.

You are agreed to provide DND compliance document before account delivery.

19. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
